Terms of Service

These Terms form a binding agreement between Softwarem Ltd(“Softwarem”, “we”, “us”) and you (“Customer”, “you”). They govern your access to and use of Quotem (the “Service”), available at goquotem.app and related subdomains. By creating an account or using the Service you agree to these Terms.
1. The Service
Quotem is a software-as-a-service platform that helps service businesses send quotes, manage bookings, collect payments, and communicate with their clients. Features available depend on your subscription plan.
2. Your account
You must be at least 18 and authorised to bind the business you're registering on behalf of. You're responsible for keeping your credentials secure and for any activity under your account. Notify us immediately if you suspect unauthorised access.
You must provide accurate information and keep it up to date. We may suspend or terminate accounts created with false information.
3. Subscriptions & billing
3.1 Plans & pricing
Current plans and prices are shown at goquotem.app. We may change prices with at least 30 days' notice to account holders; changes don't affect Founders-plan price locks.
3.2 Trials
We may offer a free trial. Unless you cancel before the trial ends, your subscription renews at the regular price. We'll email you a reminder before that happens.
3.3 Recurring charges
Subscriptions auto-renew each billing cycle (monthly or annually) until cancelled. By subscribing you authorise Stripe to charge your payment method for the subscription, any add-ons, usage overages, and applicable taxes.
3.4 Failed payments
If a payment fails we'll retry and notify you. Accounts more than 14 days overdue may be suspended until payment is resolved.
3.5 Refunds
Subscription fees are non-refundable except where required by law. You can cancel at any time and continue to use the Service until the end of the current billing cycle.
4. Founders plan
The Founders plan is limited to the first 50 customers. It includes all current and future Pro features at a price locked for the life of the active subscription. If the Founders subscription is cancelled or lapses for non-payment, the lock is forfeited and cannot be reinstated — reactivation is at the then-current Pro price.
5. Acceptable use
You agree not to:
- Use the Service to send spam, phishing, or unsolicited marketing in violation of UK GDPR, PECR, or equivalent laws in your jurisdiction.
- Use the Service for unlawful, fraudulent, or infringing purposes.
- Upload malware, attempt to breach security, or probe vulnerabilities without written permission.
- Reverse-engineer, scrape, resell, or white-label the Service without our written consent.
- Impersonate others or misrepresent the origin of communications sent through the Service.
We reserve the right to suspend or terminate accounts that breach these rules. Serious or repeated breaches may be reported to the relevant authorities.
6. Your content
You retain ownership of all content you upload to, or generate within, the Service (customer records, quotes, bookings, branding, files). You grant us a worldwide, royalty-free licence to host, copy, and transmit that content only as needed to provide the Service.
You're responsible for having the right to upload and share any content, and for complying with privacy law when processing your end-clients' personal data. You're the data controller for that data; Softwarem is the processor. A Data Processing Addendum is available on request.
7. AI features
Some features (AI assistant, auto-reply, summaries) send content to third-party AI providers (e.g. Anthropic). Outputs may be inaccurate — you're responsible for reviewing anything the AI produces before sending it to a client or using it as the basis for a commercial decision. We do not permit these providers to use your data for model training.
8. Integrations
The Service integrates with Stripe (payments), Google (Gmail, Maps), Resend (email), and others. Your use of these integrations is also governed by the third party's own terms. We're not responsible for outages, changes, or actions of third-party services.
9. Service availability & support
We aim for high availability but do not guarantee uninterrupted service. Planned maintenance is announced in advance where practicable. Support is provided by email atsupport@softwarem.co.uk; Pro and Founders plans include priority response.
10. Termination
You may cancel at any time in your account settings. We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay, or use the Service in a way that harms us or another user. On termination your data will be deleted within 30 days except where law requires us to retain it.
11. Intellectual property
The Service, including its software, design, branding, and documentation, is owned by Softwarem Ltd and protected by copyright and other IP laws. Nothing in these Terms transfers ownership to you. Feedback you send us may be used without restriction.
12. Warranties & disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including fitness for a particular purpose, merchantability, and non-infringement. Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
13. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, nor for loss of profit, revenue, data, or business opportunity.
14. Indemnity
You agree to indemnify and hold Softwarem harmless from any claim arising out of your use of the Service, your content, your breach of these Terms, or your breach of applicable law (including data-protection law in relation to your end-clients' data).
15. Changes to these Terms
We may update these Terms from time to time. For material changes we'll notify account holders at least 14 days before they take effect; continued use of the Service after that counts as acceptance.
16. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except that we may bring an action for injunctive relief in any competent court.
